It is important that you carefully read and understand these terms and conditions (the “Terms”) before proceeding with your purchase. By accessing and using our website and purchasing products from us, you are indicating that you have read and agreed to abide by these Terms.

These Terms govern your use of the websites owned, controlled, and managed by JSL Trading Sdn Bhd., including www.goodsense.asia or www.goodsense.com.my (the “Sites”). JSL Trading Sdn Bhd. (referred to as “JSL,” “we,” “us,”) is a company registered under the registration number 1223976-X, with its registered office located at No. 11A, Jalan TPP 5/5, Taman Perindustrian Puchong 5 & 6, 47100 Puchong, Selangor, Malaysia. In the event that we need to communicate with you for service-related matters, we will do so by telephone or by sending a message to the email or postal address you have provided in your order. “Written” or “writing” in these Terms includes emails.

The Website is provided as a service to our customers, and your use of the Website is governed by these Terms of Use. We reserve the right to modify these Terms of Use at any time, and such changes will be effective upon posting to the Website. Your continued use of the Website after changes have been posted constitutes acceptance of those changes.

By accessing and using the Website, you acknowledge and agree to these Terms of Use as well as our Privacy Policy, which is incorporated by reference for all purposes. If you do not agree to these Terms of Use or our Privacy Policy, you may not access or use the Website. If you refuse to accept these Terms of Use, you will be unable to place any orders through the Website.

Capitalized words used in these Terms of Use, except for those capitalized only for grammatical purposes, shall have the meaning defined in the definitions section below, both in singular and plural forms.

Definitions: The following terms shall have the meaning specified in their definition, and it is understood that terms defined in the singular form also apply in the plural form:

• “Customer,” “you,” “your” refers to any person who accesses or visits the GoodSense Website or places an order for one or more products in the online shop.
• “General Conditions” refers to these general terms and conditions.
• “Order Confirmation” refers to the email message confirming the acceptance of your order.
• “Sale and Purchase Agreement” refers to the agreement between you and JSL for the purchase and sale of products.
• “Price” refers to the sale price of the products as listed in the online shop for each product.

1. ORDERS FOR PRODUCTS AND SERVICES

1.1 Personal Use

At JSL, we sell our products and services only to end-users and/or consumers with a valid shipping address. Our products and services are intended for personal use only and not for resale. We reserve the right to refuse the sale of our products to retailers or bulk buyers. By placing an order on our website, you warrant that the purchase is not for commercial purposes and is intended for strictly personal use.

JSL reserves the right to cancel or reduce the quantity of any order without notice, as determined by JSL in its sole discretion. You will only be charged for quantities shipped. To place an order, you must be 18 years or older and have the legal capacity to contract. Our customer service is unable to make any changes to your order after it has been confirmed for security reasons, as our warehouse processes orders quickly for prompt delivery.

1.2 Price

All orders must be paid for in Malaysian Ringgit (RM). The prices for our products listed on the website are subject to change and are correct at the time of entry into our system. However, we are not liable for any losses caused by unauthorized access to this data by a third party.

Prices for our products may change from time to time, but any confirmed orders will not be affected by these changes. The prices listed on the website are inclusive of the current SST rate chargeable in Malaysia. If the rate of SST changes between the time of your order and the time of delivery, the SST amount you pay will be adjusted accordingly, unless full payment for the products has already been received.

The listed prices do not include delivery charges, which will be added to the total cost of your order before payment is submitted. Please refer to our Shipping section for details on delivery charges.

1.3 Payment Methods

JSL reserves the right to modify the available payment methods at any time, as indicated on the website at the time of order placement. Payment must be made using a payment method that matches the billing name on the credit card used for payment. If you choose to pay using a foreign currency-denominated account for a Malaysia delivery, the payment will be processed in Malaysian ringgit (RM), and your credit card issuer will convert the amount using their foreign exchange rate.

All orders require bank authorization before processing and only authorized orders will be shipped.

1.4 Product Images, Pricing, and Availability

The images of the products displayed in the online shop are intended for illustration purposes only. Although we make every effort to display the colors accurately, we cannot guarantee that your computer’s display will accurately reflect the actual product colors. The actual products may slightly differ from the images shown.

Occasionally, errors may occur in our pricing. In such cases, we will contact you to inform you of the error and offer you the option to either reconfirm the order at the corrected price or cancel the order. Prices may change and promotions may be withdrawn at any time, so it’s important to check the terms and conditions of each offer. Offers may also be available online or in-store only.

The range and availability of the products in the online shop may vary periodically. The packaging of the products may also differ from that shown in the images on the website. All products are subject to availability, and if a product is not available, we will inform you via email of the expected availability. Once an order has been successfully placed, we cannot make any further changes, such as shipping method upgrades or changes to the quantity of items ordered. We also cannot be held responsible for replacements or refunds for parcels that are delivered to incorrect addresses, so we advise reviewing your bag and shipping details before checking out.

1.5 Order Placement

To place an order, you may either create an account with us or place the order using a guest account. You must ensure that the information provided in connection with your account is true, accurate, and complete, and keep it up to date by informing us of any changes to your account information via the relevant sections of the website.

Please take the time to thoroughly review your order at each stage of the ordering process. The information provided in connection with the order must be true, accurate, and complete. You will have the opportunity to correct any input errors before submitting the order. It is your responsibility to ensure that the order is correct before submitting it to us, including verifying the accuracy of the delivery address. We will not be held responsible or liable for any items that go missing or are delayed due to inaccurate or incomplete delivery address information provided by you. When you click the “Order Confirmation” button, you confirm that the order information, including payment and delivery details, is valid and correct, and that payment will be made in full when the order is accepted and processed. By placing an order, you confirm that you are the person referred to in the billing details.

Submitting an order constitutes an offer to purchase products from us at the prices indicated on the website. All orders must be placed using the shopping cart facility on the website. Once an order has been submitted, you cannot cancel or modify any aspect of it.

Payment by you does not constitute our acceptance of your order and a legally binding agreement is not formed until you receive the order confirmation. We will not be obligated to supply the products until then. However, we reserve the right to cancel or reduce the quantity of any order at our sole discretion, in which case you will only be charged for the actual quantity of products shipped.

In the event that we are unable to supply you with a product, such as due to unavailability or an error in the price listed on our website, or if we are unable to obtain payment authorization or if you do not accept these terms and conditions, we will inform you via email and will not process the order. If you have already paid for the product, we will refund the full amount as soon as possible.

Without prejudice to any other provision in these Terms of Use, JSL reserves the right to cancel any Orders under the following circumstances:

(a) Orders that violate these Terms of Use;

(b) Orders placed by a Customer with whom JSL has an unresolved dispute;

(c) Total or partial non-payment of a prior order by the customer

1.6 Shipping

Domestic Shipping & Handling:

All Orders are processed during business days only. If your Order is placed after business hours, it will be processed on the next business day.

JSL will fulfill your order within an estimated delivery period of no more than 30 days after the date of the Order Confirmation, unless there is a Force Majeure Event. In the event of a Force Majeure Event (as defined in these Terms of Use), JSL will contact you with a revised estimated delivery date.

Please ensure that you provide a complete and accurate delivery address when placing your Order. JSL cannot be held responsible for any items that go missing or are delayed due to inaccurate or incomplete delivery information provided by you.

Upon delivery of the Products to the delivery address you have provided, all risks associated with the Products (including loss, theft, or damage) will be transferred to and assumed by you.

International Shipping:

JSL regretfully informs that it is currently unable to process and ship orders to destinations outside of Malaysia.

1.7 Returns

You may check your eligibility for a return under JSL’s Return Policy. In the event that you receive an incorrect order or a defective item, please send an email to JSL’s Customer Service team at [email protected] with several pictures of the product(s) clearly showing the defect and overall state of the product(s), and clearly stating the issue with the product(s). JSL’s Customer Service team will be in contact with you promptly.

1.8 Damaged or Defective Products

Upon receipt of your Order, please inspect the Product(s) for any damage or defects. Some wear and tear on the shipping package is normal. However, if you believe that a product in your shipment is damaged or defective, please contact JSL’s Customer Service team at [email protected], and they will be in touch with you shortly.

1.9 Product Warranty

1. The customer is responsible for shipping charges for warranty claims, returns, and repairs to the Return Address.
2. JSL will cover the delivery costs of the replacement or repaired product back to the customer.
3. The invoice or Order Confirmation will be required as proof of purchase.
4. Products for commercial use are not eligible for warranty coverage.
5. JSL’s obligations are limited to the repair of the defect or replacement of the defective part.

The warranty does not cover the following:

– Abuse or misuse, including but not limited to the failure to use the product for its intended purposes and operations, or in accordance with JSL’s instructions for usage and maintenance.

– Accidents, lightning strikes, water damage, fire, public disturbances, improper ventilation, voltage fluctuations, or any other cause beyond the control of JSL’s products.

– Any part of the product that is broken or shows evidence of tampering.

– Damage caused by human error.

– Damage to a product that has been modified or altered without the written permission of JSL.

– Service performed by anyone who is not an authorized service provider of JSL that causes damage to the product.

2. WEBSITE CONTENT

All the content featured or displayed on the Website, including but not limited to logos, icons, trademarks, text, graphics, photographs, images, moving images, sound, illustrations, and software (referred to as “Content”), is the property of JSL, its affiliates, licensors, or content providers. The general design and Content of the Website are protected by copyright, moral rights, database rights, trademark, and other laws related to intellectual property rights. Unless explicitly permitted by JSL or another agreement, no portion or element of the Website or its Content may be copied or transmitted in any manner. The Website, its Content, and related rights will remain the exclusive property of JSL, its affiliates, or licensors unless otherwise agreed upon. All rights are reserved.

2.1 Colours on the Internet

The images of the products in the online shop are for illustration purposes only. While we make every effort to display colours accurately, we cannot guarantee that your computer’s display of the colours will match the actual product colours. There may be slight variations.

2.2 Website Content License

JSL and/or its licensors own all rights, title, and interest in the Website and all the text, graphics, photographs, audio, video, logos, artwork, data, computer code, and other materials displayed on the Website (referred to as “Content”). This includes the look and feel and design of the Website and the organization of the Content, as well as any copyrights, trademarks, patent rights, and other intellectual property and proprietary rights. Your use of the Website does not give you ownership of any Content on the Website. In accordance with these Terms of Use, JSL grants you a limited, revocable, non-sublicensable, and non-transferable license to use the Website and its materials for personal, non-commercial purposes only.

2.3 Trademarks

The trademarks, logos, service marks, and trade names (collectively referred to as “Trademarks”) displayed on the Website or in the Content available through the Website are registered and unregistered Trademarks of JSL and others. These Trademarks may not be used unless authorized by the Trademark owner. Any Trademarks not owned by JSL that appear on the Website or through its services are the property of their respective Trademark owner. Nothing on the Website should be interpreted as granting, by implication, estoppel, or otherwise, any license or right to use any Trademark displayed on the Website without the written permission of JSL or the third-party Trademark owner. Misuse of the Trademarks displayed on the Website is strictly prohibited.

2.4 Your Use of The Website

You are prohibited from copying, reproducing, distributing, publishing, entering into a database, displaying, performing, modifying, creating derivative works, transferring, selling or exploiting the contents of this Website without the express permission stated in these Terms of Use or written consent from JSL. JSL will enforce its intellectual property rights to the fullest extent of the law.

Misuse of the Website or its contents for any unlawful purpose, such as introducing viruses or attempting unauthorized access, is strictly prohibited.

JSL will not be held liable for any loss or damage caused by a distributed denial-of-service attack, viruses or other technologically harmful material that may infect your computer equipment, computer programs, data or other proprietary material due to your use of our Website or downloading of any material posted on it or any website linked to it.

The Website is for personal and non-commercial use only. You agree to be solely responsible for:

• all costs and expenses incurred in relation to your use of the Website; and
• maintaining the confidentiality of your password and other account details.

In the event of non-compliance with any part of these Terms of Use, any terms or policies referred to, or any applicable law, JSL reserves the right to prevent or suspend your access to the Website.

2.5 User Information

During your visit to our site www.goodsense.asia or www.goodsense.com.my (the “Website”), we will capture information about your visit and the resources you access through technology, including the Uniform Resource Locator (URL) you linked from and your Internet Protocol address, even if you do not register as a customer.

If you register with the Website, make a purchase, sign up for emails, complete an online form or questionnaire, provide feedback, comments or suggestions, report problems, subscribe to our newsletter, apply for membership in one of our programs, or enter a competition or promotion, you will be asked to provide personal information (“User Information”).     (c) you are not entitled to compensation, payment, or reimbursement of any kind from JSL or its affiliates for such User Contribution unless otherwise notified by JSL in writing.

By submitting or sending User Contributions to us, you represent and warrant that:

    (i) the User Contributions are original to you and no other party has any rights to them, and any “moral rights” in the User Contributions have been waived; and

    (ii) by submitting any content or material through the Website, you grant JSL and its affiliates a royalty-free, unrestricted, worldwide, perpetual, irrevocable, non-exclusive and fully transferable, assignable, and sub-licensable right and license to use, copy, reproduce, modify, adapt, publish, translate, create derivative works from, distribute, perform, display, make, sell, and export such User Contributions (in whole or part) and/or incorporate them in other works in any form, media, or technology now known or later developed, for editorial, commercial, non-commercial, promotional, or any other purpose. 2.7 Links to and from the JSL Website

Reproduction, transfer by electronic or conventional means, modification, linking, or utilization of the Online Shop and its contents, in whole or in part, is strictly prohibited without prior written consent from JSL.

2.8 Public and Interactive Areas of the JSL Website; Ratings & Reviews; Guidelines

By using the interactive areas of our website, you represent and warrant that: (a) you have the legal capacity to enter into a contract, (b) all User Contributions posted by you are original and solely authored by you, (c) no User Contribution infringes upon, violates, or misappropriates a third party’s intellectual property rights, (d) no User Contribution is obscene, libelous, vulgar, offensive, malicious, discriminatory, defamatory, or otherwise unlawful, (e) no other party has any rights to such User Contribution, (f) you have waived any “moral rights” in your User Contribution, (g) the User Contribution is not false, inaccurate, or misleading in any manner, and (h) you are not receiving compensation from any third party for your User Contributions.

The use of interactive services for impersonation of any person or entity, including, but not limited to, JSL employees, forum leaders, guides, or hosts, and falsely stating or misrepresenting your affiliation with a person or entity, is strictly prohibited. The collection or storage of personal data about other users is also not allowed. References to other competitors, websites, addresses, email addresses, contact information, or phone numbers must not be included.

When writing a review for Ratings & Reviews, please keep the following guidelines in mind:

• Focus on the product and your personal experience using it
• Provide detailed reasons for why you liked or disliked a product
• All submitted reviews, comments, and questions are subject to these Terms of Use and JSL’s Privacy Policy.

By submitting User Contributions, you grant JSL a royalty-free, unrestricted, worldwide, perpetual, irrevocable, non-exclusive, fully transferable, assignable, and sublicensable right and license to use, copy, reproduce, modify, adapt, publish, translate, create derivative works from, distribute, perform, display, make, sell, and export such User Contributions, in whole or in part, and/or to incorporate them into other works in any form, media, or technology now known or later developed, for editorial, commercial, non-commercial, promotional, or any other purpose.

2.9 Disclaimer of Warranties

The JSL Website, including all services, content, functions, and materials, is provided “as is” and “as available” without warranty of any kind, express or implied, including, but not limited to, any warranty for uptime or uninterrupted access.

2.10 Termination

JSL reserves the right to change, suspend, or discontinue the Website at any time without prior notice.

3. GENERAL TERMS

3.1 Liability

JSL shall be responsible for any loss or damage you may suffer as a result of a breach of its commitments or negligence, as long as such loss or damage is foreseeable. Loss or damage is deemed foreseeable if it was an obvious outcome of a breach or if it was contemplated by both parties at the time the agreement was entered into.

The products offered on the website are intended for personal and household use only. You agree not to use the products for any commercial or business purposes, and JSL shall not be liable for any loss of profit, business interruption, or loss of business opportunity that may arise from such usage.

3.2 Governing Law

These Terms of Use and any disputes or claims arising out of or in connection with them or their subject matter shall be governed by the laws of Malaysia and shall not give effect to any principles of conflicts of laws.

You agree that the courts of Malaysia shall have exclusive jurisdiction to settle any disputes or claims arising out of or in connection with these Terms of Use or its subject matter.

3.3 Complaints

3.4 Severability of Provisions

In the event that any provision of the Terms of Use is deemed unenforceable or invalid, such provision shall nonetheless be enforceable to the fullest extent permitted by applicable law, and the unenforceability or invalidity of such provision shall not affect the enforceability or validity of the remaining provisions.

3.5 Force Majeure

JSL shall not be liable for any failure to perform or delay in performance of its obligations under a Sale and Purchase Agreement due to any circumstances beyond its reasonable control, including but not limited to acts of God, strikes, lockouts or other industrial action by third parties, civil unrest, acts of war, natural disasters, and failure of public or private telecommunications networks.

In the event of such circumstances, JSL will promptly notify you and the performance of its obligations under the Sale and Purchase Agreement will be suspended until such circumstances are resolved.

3.6 Other Relevant Terms

JSL respects your privacy and handles your personal information in accordance with its Privacy Policy. Please review our Privacy Policy for more information.

JSL reserves the right to transfer its rights and obligations under the Sale and Purchase Agreement to a third party, without affecting your rights or JSL’s obligations under these Terms of Use.

You may only transfer your rights or obligations under these Terms of Use with the prior written consent of JSL.

The Sale and Purchase Agreement is solely between you and JSL, and no third party shall have the right to enforce any provisions contained therein.

Each provision of the Terms of Use operates independently, and in the event that any provision is deemed invalid or unenforceable, the remaining provisions shall remain in full force and effect.

JSL’s delay in enforcing any provision of these Terms of Use shall not be deemed a waiver of its rights. JSL may enforce its rights at a later date if deemed necessary.

The laws of Malaysia shall govern these terms and conditions, without giving effect to any conflict of law principles. In the event of any legal dispute arising from these terms, you agree to submit to the exclusive jurisdiction of the courts of Malaysia.
